InertiaX Early Access Software License Agreement

This InertiaX Early Access Software License Agreement (“Agreement”) is between Hichem Taboukouyout and Younes Amalou, each acting as a registered auto-entrepreneur in Algeria and jointly operating under the YH Team brand (together, the “Licensors”), and the individual or organization admitted to the InertiaX Early Access program (“Licensee”, “you”, or “your”).

By accepting this Agreement or downloading, installing, copying, modifying, or using the Software, you agree to this Agreement.

1. Definitions

“InertiaX” means the proprietary commercial software product developed and distributed by the Licensors.

“Software” means the InertiaX packages and related proprietary materials provided to Licensee, including Composer packages, npm packages, source code contained in those packages, compiled code, stylesheets, schemas, protocol materials, accompanying documentation, updates, patches, modifications supplied by us, and related files.

“Authorized Users” means Licensee and, where Licensee is an organization, its employees and contractors who reasonably require access to the Software on Licensee’s behalf and who are subject to obligations protecting the Software consistent with this Agreement.

Third-party components are excluded from the definition of Software to the extent they are governed by their own licenses.

2. Proprietary Software

InertiaX is proprietary software.

The Software is licensed, not sold.

Except for third-party materials and the limited rights expressly granted under this Agreement, all rights, title, and interest in InertiaX remain with the Licensors.

No ownership interest in InertiaX is transferred to Licensee.

3. License Grant

Subject to this Agreement, the Licensors grant Licensee a limited, non-exclusive, non-transferable, non-sublicensable Early Access license to:

  • download and install the Software;
  • develop applications using the Software;
  • use the Software internally;
  • evaluate and test the Software;
  • use it in development, testing, staging, CI/CD, and deployment environments;
  • build and operate applications using InertiaX;
  • inspect source code included with the Software;
  • modify the Software internally for integration, compatibility, debugging, or Licensee’s own use;
  • maintain private backups and archives; and
  • maintain private repositories, package registries, mirrors, caches, and other private copies as permitted by this Agreement.

The license does not create any entitlement to future releases, updates, maintenance, registry access, or commercial versions.

4. Authorized Users

Licensee may provide access to the Software to Authorized Users where reasonably necessary for Licensee’s own development, operation, maintenance, or deployment activities.

Licensee is responsible for ensuring that Authorized Users comply with this Agreement.

Providing access to another independent company, customer, vendor, or third party merely so that they may obtain or reuse InertiaX for their own purposes is not permitted.

5. Private Copies, Repositories, and Mirrors

Licensee may copy, cache, archive, and privately mirror the Software.

Permitted locations include private:

  • Git repositories;
  • GitHub or GitLab repositories;
  • Composer repositories;
  • npm-compatible registries;
  • artifact repositories;
  • dependency caches;
  • CI/CD infrastructure;
  • deployment infrastructure;
  • internal file storage; and
  • backup systems.

Such copies do not need to remain connected to InertiaX-operated infrastructure.

Private copies must remain reasonably access-controlled and may only be accessible to Authorized Users.

This section does not permit public publication, public mirroring, independent redistribution, resale, or sublicensing of InertiaX.

6. Application Distribution

Licensee may develop, deploy, distribute, and operate applications that use InertiaX.

Licensee may compile, bundle, transform, minify, or otherwise include portions of InertiaX in application artifacts where this occurs as part of normal application development and deployment.

This includes delivery of compiled client-side code to end users through a web application.

Such distribution does not permit Licensee to distribute InertiaX itself as:

  • a standalone library;
  • standalone source code;
  • a standalone package;
  • a development toolkit;
  • a reusable package offered to third parties;
  • a public or third-party package mirror;
  • a competing product substantially derived from InertiaX; or
  • a substitute for obtaining authorized access to InertiaX.

7. General Restrictions

Except where expressly permitted by this Agreement or required by applicable law, Licensee may not:

  • publicly publish proprietary InertiaX source code;
  • upload proprietary InertiaX source code to a public repository;
  • publish InertiaX packages to a public package registry;
  • make private package archives publicly downloadable;
  • provide standalone copies of InertiaX to unauthorized third parties;
  • sell, rent, sublicense, resell, or independently commercialize InertiaX itself;
  • sell access to a private InertiaX mirror or registry;
  • share registry or portal credentials with unauthorized persons;
  • represent InertiaX as software created or owned by Licensee;
  • remove or materially obscure proprietary or copyright notices;
  • repackage InertiaX primarily for redistribution as another library, framework, or development product;
  • circumvent access controls used to obtain the Software; or
  • knowingly enable another person to perform any of these actions.

Ordinary deployment of an application using InertiaX under Section 6 is not prohibited.

8. Restricted Uses

Licensee may not use the Software to build, operate, materially support, or facilitate a website, application, service, marketplace, or business activity that materially involves:

  • the sale or distribution of illegal or recreational drugs, unlawfully supplied controlled substances, or related drug paraphernalia;
  • the sale, distribution, or commercial promotion of alcoholic beverages;
  • the sale or commercial distribution of pork or pork-derived food products;
  • pornography or sexually explicit content;
  • sexual services, prostitution, escort services, or businesses primarily facilitating such services;
  • products or services whose primary purpose is sexual activity or adult sexual entertainment;
  • nudity presented primarily for sexual or adult-entertainment purposes;
  • interest-based lending or financing, or financial services whose material business activity involves charging or receiving interest (riba);
  • scams, fraud, phishing, impersonation, theft, or similar deceptive schemes; or
  • intentionally false or materially misleading commercial representations designed to obtain money, property, credentials, or another improper benefit.

Incidental discussion, journalism, education, medical material, research, or legitimate reference to a restricted subject does not by itself violate this section unless the Software materially facilitates the prohibited activity.

A material violation of this section constitutes a material breach of this Agreement.

9. Source Code

Source code contained in the distributed Software remains proprietary.

Licensee may inspect, debug, modify, store, and use that source code as permitted by this Agreement.

Licensee may not publicly disclose, publish, redistribute, sublicense, sell, or otherwise make proprietary InertiaX source code available to unauthorized third parties.

Internal modifications remain subject to this Agreement.

The fact that source code is technically readable or included in a package does not make that source code open source or publicly distributable.

10. Confidential Materials

Registry credentials, portal credentials, private distribution information, unpublished package artifacts, and other materials reasonably understood to be confidential must be protected against unauthorized disclosure.

Information is not confidential under this section to the extent that it:

  • became public without violation of this Agreement;
  • was independently developed without use of confidential InertiaX materials; or
  • was lawfully obtained from a third party entitled to disclose it.

11. Early Access Nature

The Software is Early Access software and may be incomplete, experimental, unstable, defective, or subject to substantial change.

The Software may introduce breaking changes, change APIs, change package structure, remove functionality, change compatibility requirements, or otherwise behave differently between releases.

The Licensors do not guarantee:

  • backward compatibility;
  • migration paths;
  • continued availability of a particular version;
  • continued access to registries;
  • continued maintenance;
  • future updates;
  • compatibility with future third-party releases;
  • support response times;
  • uptime; or
  • suitability for production-critical use.

Licensee is responsible for evaluating the Software and maintaining appropriate version locks, backups, private package copies, testing, rollback procedures, and other safeguards.

12. Registry and Distribution Independence

Registry or portal access is a distribution mechanism and is separate from possession of an authorized Software copy.

Licensee may continue using a lawful private copy without contacting an InertiaX registry while this Agreement remains in effect.

The Licensors may change, replace, interrupt, suspend, or discontinue registry or portal infrastructure without invalidating an otherwise valid private copy.

The Licensors may separately revoke a Licensee’s ability to obtain future packages, updates, credentials, or downloads.

13. Revocation of Access

The Licensors may revoke or restrict Early Access participation, portal access, registry credentials, download access, or access to future releases at any time, with or without prior notice, to the extent permitted by applicable law.

Access may be revoked even where the Licensors do not terminate this Agreement.

The Licensors are not required to disclose internal security, fraud-prevention, abuse-prevention, investigation, or enforcement reasoning.

Revocation of distribution access alone does not require destruction of Software copies while this Agreement otherwise remains valid.

14. Termination for Breach

The Licensors may terminate this Agreement where Licensee materially violates it.

A material breach includes, without limitation:

  • public disclosure of proprietary InertiaX source code;
  • unauthorized public or third-party distribution;
  • unauthorized resale or sublicensing;
  • intentional credential sharing;
  • circumvention of access controls;
  • prohibited use under Section 8; or
  • intentionally enabling another person to violate these restrictions.

Termination may take effect immediately.

Upon termination, Licensee must:

  • stop using the Software;
  • stop deploying new versions containing the Software;
  • remove the Software from active development and deployment environments;
  • remove private mirrors and package repositories under Licensee’s control;
  • destroy retained proprietary Software copies and archives except where retention is legally required; and
  • stop using InertiaX credentials.

Confidentiality, ownership, restrictions concerning previously disclosed materials, liability provisions, and other obligations intended by their nature to survive termination remain applicable.

15. End of Early Access

The Early Access program has no fixed duration.

The Licensors may end the Early Access program at any time.

The Licensors may specify an effective end date through the customer portal, account email, or another established Early Access communication channel.

Unless the Licensors expressly provide otherwise, the Early Access license granted under this Agreement ends on that effective date.

Continued use of InertiaX after the Early Access license ends requires a valid commercial or other license then offered by the Licensors.

Ending Early Access may therefore require Licensee to stop using and deploying previously downloaded Early Access Software unless Licensee obtains a new license or the Licensors grant continued rights.

16. Future Commercial Availability

Early Access may be provided without charge.

Nothing in this Agreement grants a perpetual right to free use of InertiaX or guarantees access to general-availability versions, updates, future packages, or future services.

General-availability or future versions may require payment and may be governed by different license terms.

Nothing in this Agreement guarantees any future price, discount, Early Access benefit, commercial model, support level, or other commercial arrangement.

Any future commercial offering will be governed by the terms presented for that offering.

17. Feedback

If Licensee voluntarily provides feedback, ideas, suggestions, feature requests, or bug reports, Licensee grants the Licensors a perpetual, worldwide, royalty-free right to use, modify, reproduce, incorporate, distribute, and commercialize that feedback.

This section does not transfer ownership of Licensee’s applications, business logic, data, or independently developed software.

18. Third-Party Software

The Software may include, depend upon, or interact with third-party software.

Third-party components remain governed by their applicable licenses.

This Agreement does not restrict any rights granted directly to Licensee by a third-party license.

19. No Warranty

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available.”

The Licensors disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, availability, and compatibility to the extent legally permitted.

Licensee assumes the risks associated with use of Early Access Software.

20. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Software.

This includes loss of data, revenue, profits, goodwill, business opportunities, or business interruption.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.

21. No Support or Service-Level Commitment

Unless separately agreed, Early Access does not include guaranteed technical support, maintenance commitments, response times, uptime guarantees, migration assistance, or service-level commitments.

Assistance voluntarily provided during Early Access does not create an ongoing obligation to continue providing such assistance.

22. Changes to the License

A revised license may apply to future versions of the Software or continued participation after Licensee accepts the revised agreement.

Changing this Agreement does not retroactively replace the terms applicable to a Software version previously obtained under an earlier agreement except where Licensee expressly agrees to the change or applicable law permits otherwise.

This does not limit the Early Access expiration rules in Section 15.

23. Transfer

Licensee may not assign, transfer, sublicense, or otherwise transfer this Agreement or the Software license to another person or organization without prior permission from the Licensors.

24. Governing Law

This Agreement is governed by the laws of Algeria, without regard to conflict-of-law principles, except to the extent mandatory applicable law provides otherwise.

Any applicable court, venue, arbitration procedure, or other dispute-resolution mechanism should be specified here.

25. Severability and Waiver

If any provision of this Agreement is found unenforceable, the remaining provisions continue in effect to the maximum extent permitted by law.

Failure to enforce a provision does not waive the right to enforce that provision later.

26. Entire Agreement

This Agreement governs the licensed use of Early Access InertiaX Software.

The InertiaX Terms of Use separately govern the website, portal, Early Access program, and distribution Services.

Together with any terms expressly incorporated into them, these documents constitute the applicable agreement concerning Early Access participation and Software use.
